The Trinity Community Master Association, Inc. (Association) Board of Directors (Board) establishes all committees to function in an advisory capacity, reporting to the Board as indicated in their Charters. Committees are not authorized to carry out the functions of the Association, to exercise any authority over associates of the Association or to incur any expenses, unless specifically given written authorization of the Board. No committee member shall receive compensation or special consideration for serving on a committee.
Guests are always welcome to attend any committee meeting but must adhere to the rules for guest participation under Section 4. Committee Meeting Requirements.
COMMITTEE STRUCTURE
1. Selection of New Members
Upon signing up for a committee, each candidate may request from the Property Manager a copy of the General Guidelines for Advisory Committees and specific Committees' Charter. The Board Member Liaison will contact all candidates fifteen (15) days after the annual election of the Board of Directors or at a date and time designated by the TCMA. It is required that Committee Members be owners (i.e. named in Deed or Title) of the property located within one of TCMA's Neighborhood Associations. It is preferred, but not required that applicants possess qualifications related to the purpose of the committee. Qualifications may be derived from professional education and training, work experience, or other activity that will contribute to the purpose of the committee.
Committee selection will be forwarded to the Board through the director liaison for inclusion on the next regular Board Meeting Agenda. Appointments must have Board approval as soon as it is possible.
Unless specifically approved by the Board, a spouse or significant other, of a sitting member of the Board of Directors may not serve on any Advisory Committee.
All Advisory Committee members must be homeowners in good standing. All Advisory Committee members may serve on only two advisory committees per year. Members of a household may not serve on the same Advisory Committee.
2. Terms
Advisory Committees - Each committee member shall be appointed to a one-year term commencing upon ratification by the Board of Directors following the annual election. Both current and noncurrent committee members must sign up as previously indicated under Selection of New Members. All Advisory Committee members can only serve two consecutive years on the same committee unless there are an insufficient number of volunteers or at the discretion and approval of the Board. The Committee members and the Committee Chairperson shall serve until such time as the Board approves a replacement Committee.
Ad Hoc Committees - Members appointed to serve on an Ad Hoc Committee shall serve until the subject of the committee's assignment has been completed and a report made to the Board. At that time, the Ad Hoc Committee will be disbanded.
Special Projects and Task Forces - Members appointed to serve on a task force committee to research and provide recommendations on a specific project shall serve until the research is completed and the recommendation(s) forwarded to the Board.
3. Chairperson Selection
A Chairperson shall be elected/selected at the first committee meeting following the appointment of the committee members by the Board. The Board's Liaison shall chair the meeting until the committee members elect a new Chairperson for a one-year term.
Other Special and Ad Hoc Committees - A Chairperson shall be elected at the first committee meeting after the Board has approved the new committee members. The Board's Liaison will chair the meeting until the committee members elect a new Chairperson for the duration of the life of the committee.
For all committees, the new Chairperson will then chair the meeting and the committee will elect a Vice-Chairperson and a Secretary to serve for one-year terms.
4. Committee Meeting Requirements
Notice and Agenda - Committee meetings are open to all Association Members and shall be conducted in accordance with applicable Florida Statutes. Members who wish to address the committee are required to contact the committee chairperson prior to his/her preparation of the Agenda and ask to be put on the Agenda unless the committee designates a specific place on the Agenda for Member input. There can be public participation at the end of the meeting or another time at the discretion of the Chairperson.
Committee Recommendations-All committee recommendations shall be by a majority vote of the committee members, excluding the Board of Directors Liaison, present. Minutes will reflect the votes of all committee members. A quorum of no less than a simple majority is necessary for recommendations of any action.
Meetings and Minutes - Each Committee will meet as often as the committee deems necessary unless a different schedule is specified in the Committee's Charter. All quorum and voting requirements must be met. Written minutes of each meeting will be forwarded to the Property Manager of the Association by the Committee Chairperson.
It shall be the responsibility of the Chairperson to provide the Board of Directors with an update of their Committee's activities at the next Regular Board Meeting.
5. Committee Member Replacement
A committee may recommend to the Board the replacement of any committee member at any time and specifically when a committee member has missed three consecutive meetings. The Board reserves the right to remove or replace a committee member at any time. In the event of any vacancy or replacement of any member, the Board shall fill the positions, as it deems appropriate, until the next election/posting period.
6. Indemnification
All members acting with the authority of the committee's Charter shall be indemnified by the Association against all expenses and liabilities, including counsel fees, reasonably incurred by or imposed upon him/her in connection with any proceeding brought by reason of his/her being a member of the committee.
GUIDELINE REVISIONS
A committee may make recommendations to the Board for revision in its entirety or any part of the Committee's Charter or the General Guidelines for Advisory Committees.
The Board may replace any prior Guidelines signed by any officer or director of the Association.
